These Terms and Conditions ("Terms") govern the use of the website operated by Carto Canada ("Carto Canada", "we", "us", or "our") and the purchase of products, training services, and technical support provided by Carto Canada. By accessing our website, requesting a quote, purchasing products, or engaging Carto Canada for services, you agree to be bound by these Terms. 


If you do not agree with these Terms, you should not use our website or engage Carto Canada for products or services.



Introduction 

Carto Canada is committed to conducting business in a professional, transparent, and responsible manner. These Terms are intended to clearly define the rights and responsibilities of both Carto Canada and our customers. They are designed to support safe operations, reliable service delivery, and fair commercial practices while protecting both parties from avoidable risk. 


These Terms apply to all transactions, communications, and services provided by Carto Canada unless a separate written agreement has been executed between Carto Canada and the customer. 


Who We Are 

Carto Canada is a Canadian company that provides geospatial equipment, drone and surveying technology, training services, and related technical support to business customers operating within Canada.

The Terms apply to all operations conducted by Carto Canada across Canada.



Scope of Services

Carto Canada provides professional equipment, training services, and technical support to customers engaged in industries such as surveying, mapping, engineering, construction, public safety, and infrastructure inspection. Products supplied by Carto Canada may include hardware, accessories, embedded software, and related documentation. Services may include training, configuration support, operational guidance, and technical consulting.

All products and services are intended for professional and commercial use unless expressly stated otherwise in writing. Customers are responsible for ensuring that products and services are used only by qualified personnel and in accordance with applicable laws and manufacturer instructions.

Carto Canada reserves the right to modify, suspend, or discontinue any product or service at any time where operational, safety, or supply considerations require such action.


Use of Website

Users of the website agree to use it only for lawful purposes and in a manner that does not interfere with its operation or compromise security. Unauthorized access attempts, misuse of content, or attempts to disrupt website functionality are prohibited.

Carto Canada reserves the right to restrict or terminate website access where misuse or security concerns are identified.


Quotes and Order Acceptance

All quotations issued by Carto Canada are provided for informational and planning purposes and remain valid only for the period specified in the quotation. Quotations are subject to product availability, supplier pricing, and operational considerations.

An order is considered accepted only when Carto Canada confirms the order in writing, schedules services, or ships the requested products. Carto Canada reserves the right to decline any order where safety, regulatory, credit, or operational concerns exist.

Changes to an accepted order may result in additional costs or delays. Customers will be notified of any material changes before work proceeds.



Pricing and Payment Terms

Payment for products and services is due in full at time of shipment unless otherwise agreed in writing. Customers agree to provide accurate billing information and to pay all invoices in full.

Carto Canada reserves the right to require advance payment, deposits, or milestone payments where necessary to manage financial or operational risk.

Late payments may result in the suspension of services, withholding of shipments, or the application of administrative or collection costs permitted by law. 

All prices are exclusive of applicable taxes, shipping charges, duties, and regulatory fees unless explicitly stated otherwise.



Shipping and Delivery

Shipping and delivery arrangements may vary depending on the nature of the order, the location of the customer, and the availability of products. Delivery timelines provided by Carto Canada are estimates only and are not guaranteed.

Unless otherwise agreed in writing, risk of loss or damage transfers to the customer at the time products are delivered to the carrier for shipment. Customers are responsible for ensuring that delivery locations are accessible and suitable for receiving equipment.

Carto Canada is not responsible for delays or delivery failures caused by events outside our reasonable control, including transportation disruptions, supply chain interruptions, weather conditions, regulatory inspections, or customs processing.

Customers are expected to inspect shipments promptly upon receipt and to report any visible damage or discrepancies within a reasonable timeframe.



Returns and Refunds

Products must be unused, in original condition, and returned in their original packaging. All returns must be pre-authorized by Carto Canada and accompanied by a Return Merchandise Authorization (RMA) number.

A 20% restocking fee applies to all returns, calculated on the product's invoiced amount (excluding taxes and shipping). This fee and the 'original condition' requirement are waived only if a product defect or shipping error is confirmed by Carto Canada and an RMA is issued specifically for that reason.

Custom or special-order items are not eligible for return.

Carto Canada reserves the right to inspect returned products before issuing refunds or replacements. Shipping costs associated with returns are the responsibility of the customer unless otherwise agreed in writing.

Refund processing timelines may vary depending on financial institutions and payment methods.


Warranty

Products supplied by Carto Canada are subject solely to the warranty provided by the original manufacturer. Carto Canada does not provide independent product warranties and does not guarantee product performance beyond manufacturer specifications.

Customers are responsible for following manufacturer instructions, maintenance schedules, and operating guidelines to preserve warranty eligibility. Warranty claims must be submitted in accordance with manufacturer procedures.

To the maximum extent permitted by law, Carto Canada disclaims all implied warranties, including warranties of merchantability and fitness for a particular purpose.



Training and Certification

Carto Canada provides professional training services designed to support safe and effective equipment operation. Training programs are educational in nature and are not a guarantee of certification, licensing, employment, or operational competency.

Customers remain responsible for meeting all regulatory requirements applicable to their operations, including certification requirements imposed by Transport Canada or other regulatory authorities. Successful completion of training does not relieve customers of their responsibility to operate equipment safely and in compliance with applicable laws.

Training schedules may be adjusted or rescheduled where weather conditions, safety considerations, or operational requirements make training impractical or unsafe.



Regulatory Compliance and Safe Operation

Customers are solely responsible for ensuring that equipment purchased or used through Carto Canada is operated in compliance with all applicable laws, regulations, and safety requirements. This includes compliance with aviation regulations, occupational safety standards, and local operational restrictions.

Carto Canada does not supervise field operations and is not responsible for the actions of customers or their personnel. Customers agree to ensure that all operators are properly trained, qualified, and authorized to use the equipment.

Failure to comply with applicable laws or safety requirements may result in suspension of services or termination of support.



Insurance

Customers are responsible for maintaining appropriate insurance coverage for the operation, transportation, and use of equipment supplied by Carto Canada. Such insurance should include liability coverage sufficient to address risks associated with equipment operation, property damage, and personal injury.

Carto Canada may request proof of insurance where equipment is used in environments involving elevated operational risk, including training activities or field operations.

The responsibility to obtain and maintain insurance remains with the customer at all times.



Limitation of Liability

To the fullest extent permitted by law, Carto Canada shall not be liable for indirect, incidental, special, or consequential damages arising from the use of products or services supplied by Carto Canada. This includes loss of profits, loss of business, loss of data, operational downtime, or regulatory penalties.

Carto Canada's total liability for any claim arising from a transaction or service shall not exceed the total amount paid by the customer for the specific product or service giving rise to the claim.

This limitation applies regardless of the legal theory under which a claim is brought, including contract, negligence, strict liability, or otherwise.



Indemnification

Customers agree to indemnify and hold harmless Carto Canada from any claims, damages, losses, or expenses arising from the misuse of equipment, failure to comply with regulatory requirements, unsafe operation, or unauthorized modification of products.

This obligation includes reasonable legal costs incurred by Carto Canada in responding to claims arising from customer activities.



Intellectual Property

All content provided by Carto Canada, including documentation, training materials, images, technical guides, and branding elements, remains the property of Carto Canada or its licensors. Customers may use such materials solely for the purpose of operating purchased equipment or participating in training.

Customers may not reproduce, distribute, modify, or share proprietary materials without prior written permission from Carto Canada.

Embedded software supplied with equipment is licensed for use only as part of the equipment and may not be copied, reverse engineered, or transferred independently of the equipment.



Force Majeure

Carto Canada shall not be liable for delays or failure to perform obligations where such delays result from events beyond our reasonable control. These events may include natural disasters, severe weather, supply chain disruptions, labour shortages, transportation failures, regulatory actions, or public health emergencies.

Performance obligations will resume once conditions permit safe and practical operations.



Termination

Carto Canada reserves the right to suspend or terminate services where payment obligations are not met, safety risks are identified, regulatory violations occur, or misuse of equipment is suspected.

Termination of services does not relieve customers of outstanding payment obligations.



Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be resolved exclusively in the courts of Ontario, sitting in Toronto, unless otherwise agreed in writing.

Changes to These Terms

Carto Canada may update these Terms from time to time to reflect operational, regulatory, or legal changes. Updated Terms will be posted on the Carto Canada website with a revised effective date.

Continued use of products or services after changes are published constitutes acceptance of the updated Terms.
